Zambia - Apply for Conversion of Company


Procedure

Apply In-Person:

  1. To apply for conversion of a Company in Zambia, the applicant will have to contact the Patents and Companies Registration Agency (PACRA). Please tap on the following link to view contact details link.
  2. Make sure to have all the documents that are listed under the “Required Documents” section of this page.
  3. An application form will be provided to the applicant upon visiting any Zambia Development Authority office. Find the form on page 321 of this pdf file link.
  4. Once understanding the guideline properly, the applicant has to fill in all the necessary information in the application form.
  5. Submit the application form with necessary attachments to the office.
  6. Pay the fee as given in the “Fees” section of this page.
  7. After the completion and verification of all the required documents, the certificate will be accessible.
  8. Collect the certificate from the office in a stipulated Period of Time.





Required Documents

  • Completed formal application form obtainable from the Zambia Development Agency offices.
  • The company’s certificate of incorporation.
  • A copy of each amended paragraph in the articles.
  • A copy of the special resolution or written agreement by the members as specified in the relevant conversion section.
  • A statutory declaration by a director and the secretary of the company.

Eligibility

These conditions must be fulfilled:

  • There is no unpaid liability on any of its shares.
  • All its members agree in writing to such a conversion.
  • A special resolution amending the articles should be passed.
  • Each member makes a declaration of guarantee.




Fees

  • Application Fee: Fee for conversion into a company limited by shares at K500,000 share capital is Nil.




Validity

  • The certificate will be valid for the period mentioned in the license.
