Procedure

Apply In-Person:

1. To incorporate a Public Company in Zambia, the applicant will have to contact the Patents and Companies Registration Agency (PACRA). Please tap on the following link to view contact details link.
2. Make sure to have all the documents that are listed under the “Required Documents” section of this page.
3. An application form will be provided to the applicant upon visiting any Zambia Development Authority office. Find the form on page 300 here form.
4. Once understanding the guideline properly, the applicant has to fill in all the necessary information in the application form.
5. Submit the application form with necessary attachments to the office.
6. Pay the fee as given in the “Fees” section of this page.
7. After the completion and verification of all the required documents, the certificate will be accessible.
8. Collect the incorporation certificate from the office in a stipulated Period of Time.

Required Documents

• Completed formal application form obtainable from the Zambia Development Agency offices.
• Copy of certificate of share capital.
• Copy of an official list of shareholders and/or directors.
• Business plan and/or feasibility study.
• Verifiable evidence of project finance, bank statements (in English), loans, credit facilities, verifiable invoices and bill of lading for equipment & machinery etc.
• Brief resumes/CVs for shareholders and/or directors.
• Certified Identity cards of shareholders and/or directors.
• Non-refundable application processing fee of K2,133 (Cash or Managers’ Cheque).
• ZDA Revised service fees receipt.
• Cash or Managers’ Cheque for license fees.

Eligibility

• The name of the company should end with the words "Public Limited Company" abbreviated as "PLC".
• The share capital and its authorised minimum capital should be K1,000,000.00.

Fees

• Application Fee: ZK2,133.
• License Fee: ZK12,783.

Validity

• The incorporation will be valid until the company winds up.

Instructions

• Application forms that are incorrectly filled, incomplete or altered will not be processed.
• Where all the partners in a firm are joint secretaries, the name and address of the principal officer of the firm (and, if that address is outside Zambia, the address of the principal officer of the firm in Zambia) should be given, instead of the particulars of each partner.
• Where the Secretary is a body corporate name and its registered or principal office (and, if that office is outside Zambia, the address of the body corporate in Zambia) should be given.

Need for the Document

• License of incorporation is mandatory to be granted to run a Public Company in Zambia.
