Procedure

Apply In-Person:

1. To de-register a business in Zambia, the applicant will have to contact the Patents and Companies Registration Agency (PACRA). Please tap on the following link to view contact details link.
2. Make sure to have all the documents that are listed under the “Required Documents” section of this page.
3. An application form will be provided to the applicant upon visiting any Zambia Development Authority office.
4. Once understanding the guideline properly, the applicant has to fill in all the necessary information in the application form.
5. Submit the application form with necessary attachments to the office.
6. Pay the fee as given in the “Fees” section of this page.
7. The Registrar will publish in the Gazette and in a daily newspaper of general circulation in Zambia or other media, a notice of intention to deregister the company as requested.
8. After the expiration of ninety days from the publication of the notice, the Registrar will deregister the company.
9. The registrar will again publish the notice in the Gazette and in a daily newspaper of general circulation in Zambia that the company was deregistered.

Required Documents

• Copy of the special resolution signed by the members of the company to have the company deregistered.
• Summary of accounts(if any).
• Statutory declaration by two or more directors of the company on the assets of the company stating that the company has no debts or liabilities.

Fees

• Application Fee: K 750.

Validity

• The de-registration will be valid until the representative of the company fulfills the condition of re-registering.
