InstructionsEdit

  • An application to change the name of a company is not an amendment of the rules of the company for the purposes of this Act.
  • As soon as the Registrar receives a properly completed application and with the requirements:
    • Enter the new name of the company on the Niue register; and
    • Issue a certificate of incorporation for the company recording the change of name of the company.
  • A change of name of a company
    • Takes effect from the date specified in the certificate issued under
    • Does not affect rights or obligations of the company, or legal proceedings by or against the company.
  • Legal proceedings that might have been continued or commenced against the company under its former name may be continued or commenced against it under its new name.

Direction to change name

  • If the Registrar believes on reasonable grounds that a company has been registered under a name that contravenes at the time of registration, the Registrar may serve written notice on the company to change its name by a date specified in the notice that is not less than 20 working days after the date on which the notice is served.
  • If the company does not change its name within the period specified in the notice, the Registrar may enter on the Niue register a new name for the company in the form Company number x Limited, where x is a unique number assigned to the company by the Registrar for this purpose.
  • If the Registrar registers a new name
    • The Registrar must issue a certificate of incorporation for the company recording the new name of the company.
