Apply In Person:

  1. To Apply to Transfer Incorporation to Another Country in person, the applicant should contact the Corporate and business registration department in Mauritius Contact link
  2. Applicants should download the registration form from this link
  3. The applicant should then fill out the Transfer of Incorporation Form to complete the process of transferring the incorporation of the business from one state to another.
  4. The applicant should provide all the necessary documents such as the original Certificate of Incorporation, the Articles of Association, the Memorandum of Association, the list of shareholders and directors, and the most recent Annual Return to ensure their application is properly and adequately supported and they can be found under the “Required Document” section of this page.
  5. The applicant must provide evidence that the company has been running for a minimum of three years, is in Mauritius with a valid business address and is in line with the applicable tax and regulatory bodies' regulations and regulations.
  6. Once the applicant has obtained all the necessary documents, they will have to present them to the necessary governing authorities to complete the application process, which can be done either through mail or in person at the Companies Registrar office.
  7. The Companies Registrar will thoroughly review the submitted documents to ensure that they are in accordance with the provisions of the Companies Act and will take necessary steps to ensure that all requirements are met.
  8. The Applicant may be required to appear before the Authorities to provide further information and/or answer queries related to the transfer to ensure that all necessary paperwork is completed accurately and that all relevant regulations have been adhered to.
  9. Once the Companies Registrar has been satisfied that all the necessary requirements have been met and the relevant documents have been approved, they will certify the transfer and issue a Certificate of Transfer.
  10. Once the Companies Registrar has issued the confirmation certificate, the applicant will need to pay the required fees, which vary depending on the size of the company and the nature of the documents being filed in Mauritius, and this payment must be made as per the authority’s request.
  11. The applicant should register with the company in the new country, obtain all the necessary permits and licenses, and fulfill all the associated requirements to officially begin operations in the new country.
  12. The processing time for this procedure is 10-15 business days.
