Ghana - Re-Registration of Company

Apply In-Person:
- To Apply for Re-Registration of Company in person, the applicant has to approach the register general department (RGD) office Contact link
- An applicant has to download the form from the following Link.
- If, on the application for re-registration as a private limited company, Companies House is satisfied that the public company is entitled to be so re-registered, the company shall be re-registered accordingly.
- Companies House must issue a certificate of incorporation altered to reflect the company’s re-registered status and the circumstances of the case. The certificate must state the date on which it is issued and that it is issued upon re-registration of the company.
- The application for re-registration can only be made once a special resolution has been passed and the conditions have been satisfied.
- The application must be made on a Companies House form RR01 and must contain a statement of the company's proposed name on re-registration and, if the company does not already have a company secretary, a statement of the proposed secretary.
- Documents that are needed for this procedure are mentioned under “Required Documents” section of this page.
- Payment of appropriate fees should be made and that can be found under the "Fees" section of this page.
- Submit the completed form with the entire supporting document for validation by inspector.
- Document is left at the in-house Bank for onward process.
- Decision is made to Approve, Query or Reject.
- Certificate and other supporting documents are issued when approval is given.
- Generally, the processing time for this procedure takes up to 2 to 3 weeks.
- The certificate is conclusive evidence that the requirements of the CA 2006 as to re-registration have been complied with. The company’s previous incorporation certificates should be retained as evidence of the company’s historical identity and status.
Apply online
- Applicant Go to online website Link
- Applicant search for the availability of your business name by clicking on “Name Search”.
- Applicant “Download” forms of the entity type you want to register.
- Then “print, fill, sign and scan” the form and other supporting documents may be required.
- Applicants create an account as a portal user.
- Applicant login with the “user name” and “password” given after the account creation.
- Applicant must select Entity Registration link again on the left pane.
- Click on “Create New” button if name has not been reserved or click on “Create from Name Reservation” button if business name has been reserved.
- Applicant select entity type from the dropdown list.
- Type business name under entity name and click on Proceed button.
- Certificate and other supporting documents are issued when applicant approval is given.
- Input data, upload scanned and signed document and applicant follow the instructions.
- Pay online by clicking on “make payment online” link.
- The status of the registration will be communicated via SMS.
- Applicant click on e-Certificate link to save or print certificate and other supporting documents after approval is given.

- Acquire individual TIN for all directors, executive members, secretaries and shareholders from GRA
- Fill Re-Registration Form with regards to the type of Business (ie Sole Props, Partnership etc.)
- Attach old Registration Particulars (i.e. Registration Certificates, Business Profile or any other Relevant Documents
- Also penalty applies to all entity types except Sole Proprietor and Subsidiary Business names

Need for the DocumentEdit
Once re-registered as a public company, the company may want to seek admission to trading on a stock exchange. It may want to do this for a number of reasons, including:
- The main reason why a private company may want to re-register as a public company is to be able to offer its shares to the public.
- To enable the company to raise finance for its development and growth (both organically and by acquisition)
- To place a market value on the company
- To increase the company's profile
- To create a market for the company's shares
- To incentivize employees, and
- To enhance the company's status with its customers and suppliers

- Some companies re-register just to obtain the 'plc' suffix, which is perceived by some to enhance a company's reputation even if the company's shares are not listed on a stock exchange. However, re-registration just to obtain the 'plc' suffix is less frequent because the costs involved with the re-registration and the extra administrative burden for public companies may outweigh the perceived benefits associated with gaining a 'plc.' name.
