Mauritius - Get Consent of Member (Company Limited by Guarantee)


Procedure

Apply In-Person:

  1. To Get Consent of Member (Company Limited by Guarantee) in person, the applicant should contact the Corporate and business registration department in Mauritius Contact link
  2. The applicant should download the registration form from this link
  3. The applicant must Fill in the form with all necessary information, such as name, address, contact number, and other relevant details, as well as attaching all required documents, including proof of identity, proof of address, and any other documentation needed to complete the application process and they can be found under the “Required Document” section of this page.
  4. Once the applicant has obtained all the necessary documents, they will have to present them to the necessary governing authorities to complete the application process, which can be done either through mail or in person at the Companies Registrar office.
  5. The Companies Registrar will thoroughly review the submitted documents to ensure that they are in accordance with the provisions of the Companies Act and will take necessary steps to ensure that all requirements are met.
  6. Once the Companies Registrar has issued the relevant confirmation, the applicant will need to pay the required fees, which vary depending on the size of the company and the nature of the documents being filed in Mauritius, and this payment must be made as per the authority’s request.
  7. After they have paid the required fees, applicants will receive a Consent and Certificate of Shareholder, granting them the authorization to establish and operate a business in their choice.
  8. Once the application has been reviewed and approved, then the applicant can collect the certificate in person from the department, ensuring that they have all the necessary documents to complete the process.
  9. If the applicant is unable to collect the certificate in person, they can request the department to send the certificate to them via post as an alternative to collecting it in person.
  10. Once they receive the certificate, they should carefully read the document, sign it, and return it to the department in a timely manner to ensure that their records are up to date.
  11. The processing time for this procedure is 10-15 business days.

Eligibility

  • In Mauritius, any person or legal entity who is a shareholder of a company may give Get Consent of Shareholder.
  • The shareholder must be at least 18 years of age and must have the capacity to give valid consent on behalf of the company.
  • The shareholder must not be under any legal disability or be disqualified from being a director of the company.

  • In Mauritius, companies limited by guarantee must obtain the consent of members in accordance with the Companies Act 2001.
  • This consent must be obtained by way of a special resolution, which is a resolution passed by a majority of not less than three-quarters of the members present and voting at a general meeting of the company.
  • The special resolution should specify the nature of the proposed action and the reasons for it, as well as details of the proposed resolution.
