Uganda - Apply for Free zone operator’s Licence or Manager’s Licence

Procedure[edit]

  1. A person who wishes to carry on business as an operator in a free zone shall apply to the Authority for a free zone operator’s licence or free zone manager’s licence.
  2. A free zone operator’s licence or free zone manager’s licence can be obtained from Uganda Free Zone Authority.
    • A person shall not carry on business as an operator in a free zone unless that person is granted by the Authority a free zone operator’s licence or free zone manager’s licence.
    • A person who carries on business as a free zone operator or free zone manager without a licence commits an offence and shall on conviction be liable to a fine not exceeding forty eight currency points or imprisonment not exceeding two years or both.
  3. Fill up the appropriate application form 7 as described by the Uganda Free zone Authority.
  4. After filling the form 7 proceed to pay the prescribed fee.
  5. The Form under sub regulation (1) shall also be accompanied by the following documents.
    • a duly filled duplicate copy of Form 7;
    • a copy of the certificate of incorporation or registration, in the case of a foreign company;
    • a copy of the memorandum and articles of association of the business enterprise;
    • a business plan which shall include an executive summary, products and services subject to the licence, a market analysis summary, a strategy and implementation summary, a company and management strategy, a financial plan and any information the Authority considers necessary; and
    • any other document the Authority may direct
  6. Upon receipt of the application, the Authority shall review the application to ensure that all the relevant documents are available to enable the processing of the application.
  7. Where, upon review of the application under sub-regulation (1), the Authority finds that the application is incomplete, the Authority shall request the applicant to provide additional information or clarify the information provided.
  8. Submit the dully filled in form with attached pay slip to the licensing Officer in charge.
  9. The Authority shall, within three months after receipt of an application or additional information investigate and prepare a detailed report in respect of the application to enable the processing of the application.
    • The Authority shall in considering an application under this regulation have regard to –
    • whether the commercial activities the applicant intends to engage in are commercially viable and are based on a suitable and credible business plan;
    • whether the applicant has an adequate equity base or access to capital;
    • the opinion of the Commissioner General and such other relevant bodies as may appear to the Authority to be appropriate; and
    • whether the applicant has executed a bank guarantee to indemnify the Authority in case of non-compliance with the conditions of the licence.
  10. After considering the application, the Authority shall grant a free zone operator’s licence to the applicant. You can now, collect your Licence certificate from where your application was submitted within four months from the date the application was received at Uganda free Zone Authority in case there is no rejection.

Required Documents[edit]

  • A copy of the Memorandum and Articles of Association of the business enterprise.(For the purpose of producing goods or services within a Free Zone)
  • Agreement with the Developer where company intends to operate
  • Environment Impact Assessment Certificate of the Project (where applicable)
  • Proof of payment for Application Fees(USD 250)
  • Tax clearance (where applicable)
  • Any other documents that the Authority may consider necessary.

Eligibility[edit]

  • Any free zone company that is incorporated in Uganda for the sole purpose of operating a free zone are eligible.
  • Both local and foreign business enterprises are eligible to be licensed to develop and operate a Free Zone provided they fulfill the following:
  1. The company must be registered or incorporated for the sole purpose of developing and operating a Free Zone in Uganda;
  2. The company must have an adequate equity base and access to capital to enable it develop a Free Zone or operate in a Free Zone; and
  3. The activities of the projects for which the Developer or Operator seeks the Free Zone’s Licence must be commercially viable and must be based on a suitable and credible Business Plan.

Need for the Document[edit]

Information which might help[edit]

  • Where a licence is changed or amended under sub-regulation (4), the Authority shall issue a new licence stating the changes or amendments to the licence.
  • Where the opinion of the Authority is that the licence is revoked, the Authority shall give at least fourteen working days’ notice to the holder of the licence of the intention to revoke the licence and the reasons for the intended revocation.
  • The holder of the licence shall be given the opportunity to make representations in writing to the Authority.
  • The Authority shall notify the holder of the licence of the decision within thirty days from the date of receipt of notification.
