Kenya - Non-Governmental Organization Dissolution
ProcedureEdit
- A non-governmental organization (NGO) is a non-profit, voluntary citizens’ group that is organized on a local, national or international level.
- All NGO’s must be registered by NGO Coordination Board in accordance with the NGO coordination Act.
Apply In-PersonEdit
- The Board of directors of a NGO should carry out a meeting and take minutes on having to dissolve the organisation.
- You are then supposed to make an advertised on the local dailies informing the general public of the intended dissolution .
- You should them make a formal application addressed to the Executive Director seeking for consent, signed by the three registered officials of the Organization.
- Submit the application together with all the required documents to the Non-Governmental Organizations Co-ordination Board offices. This documents include:
- (a). Minutes of the meeting proposing the dissolution .
- (b). A copy of the minutes authorizing the dissolution of the organization.
- (c). Copy of an advertisement informing the general public of the intended dissolution.
- (d). Documentary evidence that all employees have received their terminal dues.
- (e). Inventory of all assets of the NGO and an outline a plan for transferring the said assets to an organization with similar objectives.
- (f). Annual Returns that the organization has been submitting.
- (g). Original certificate of registration (Which you should surrender)
- (a). Minutes of the meeting proposing the dissolution .
- You should then proceed to pay the processing fees and summit the receipt to the Non-Governmental Organizations Co-ordination Board offices. A Processing fee of Kes. 2000/= is charged for this application.
- Payments by Cheque or cash should be made to:

- On Completion of this process, it will take Non-Governmental Organizations Co-ordination Board two days to acknowledge the dissolution and affect them within 90 days.

- Registered Non-governmental organisations in Kenya are eligible to make an application to dissolve itself.

- A processing fee of Kes.2000/= is charged

- The validity of the dissolution is forever.

- Dissolution, or the closing of an Non-Governmental Organization might be as result of:
- involuntary reasons (e.g., an external shutdown is required, usually initiated through the attorney generals office
- voluntary reasons (e.g., mission has been achieved, a financial crisis has taken place, board and staff have exhausted their energy and ideas, or internal interpersonal disputes have overtaken an organization).

- The Non-Governmental Organizations Co-ordination Board is a State Corporation established by the Non-Governmental Organizations Co-ordination Act (Cap 19) of 1990. The Board has the responsibility of regulating and enabling the NGO sector in Kenya.
- The Board is currently under the Ministry of Interior and Coordination of National Government.
- All NGO applications should be typed or filled in block letters.
- All applications MUST contain ORIGINAL signatures of the officials and members as applicable.
