Apply In-Person

  1. To restore a company in Jamaica, you should visit the Companies Office of Jamaica (COJ) to submit your complete application, please view their contact details and map location through this link: - COJ Contacts
  2. Obtain the application form for restoration form 28A and the declaration in support of the application for restoration form 28 B. you can also download both form 28 A and form 28 B from the COJ website through this link: - COJ forms (Open the dropbox menu under “Form Groups” and select “ Restoration/liquidation” to find the forms). You can also find the forms in the “Documents to Use” section below.
  3. Read and complete the forms as instructed in the instructions section of the forms. Note that the forms should be completed by the Director, or Member of the company, or Creditor of the company.
  4. Prepare all the required supporting documents and attach the documents to the application forms i.e., Forms 28 A and 28 B in a single file.
  5. Once all the documents are signed and certified as required, visit the COJ office and pay the restoration fees at the cashier and obtain the payment receipt.
  6. Then submit the complete application to the COJ assisting official at the service section.
  7. The officer will receive your application and issue you a notice of receipt of the application then your application will be forwarded to the necessary authority for processing.
  8. The application will be reviewed by the COJ and if there are discrepancies with the application, a rejection memorandum outlining the discrepancies will be prepared and issued to you.
  9. If the application is successful, it will be approved and the date of the restoration hearing will be scheduled by the COJ. The COJ will advise you of the specific date and time of the restoration hearing before the set date through your contact details. The hearing date is usually the last Tuesday of each month.
  10. At the restoration hearing, you will be issued two original signed and sealed copies of a conditional order of restoration. The order will state the list of outstanding documents and the date by which the outstanding documents are expected to be filed.
  11. File the outstanding documents as instructed and pay the relevant fees. Note that one of the original orders that were issued at the hearing must be returned when filing the outstanding documents.
  12. After filling the documents, the status of the company will be changed from “Removed” to “Active”. Note that the status will only be change if you comply with the Order.

  • Utility bill(s).
  • Bank statement(s).
  • Invoice(s).

  • Evidence in the form of a title of the asset or property endorsed with the name of the company or evidence to support litigation involving the company.

Note:

  • The fee for restoration may be paid in its entirety upon the submission of the application, or in two equal parts.
  • A penalty will be applied to late documents.
  • The acceptable modes of payment are debit/credit cards, manager's cheques made payable to Companies Office of Jamaica, or cash.

InstructionsEdit

  • If the restoration application is being made by a director or member who was not properly appointed or noted on the company’s records before it was removed from the COJ register, a Statutory Declaration with the necessary fee must be filed in support. Note that the declaration must indicate the date that the applicant was made director or member, and state that proper notification was not filed at the COJ.
  • If the company is being restored for a specific reason or objective for example disposal of an asset, a request for the removal of the company must be made once it has fulfilled that objective.
  • If the Conditional Order for Restoration has been misplaced, an application for a replacement order may be made and the requisite application fee paid.
  • If the outstanding documents will be filed on a date later than the expected date of filing (as outlined in the Conditional Order), you are required to make an application for “Extension of Time” to File with the requisite fee.
  • Late documentation will lead to a penalty fee imposed on you.
