Procedure

Apply In-Person:

1. To Change of Auditor of a Company, the applicant has to approach the Register General Department (RGD) office. Contact link
2. Applicant can be downloading the application Form from this link.
3. Read the instructions before completing form. Incomplete applications or invalid data may delay the registration process.
4. Applicant filled all details in the application form.
5. The applicant has to make sure he or she has all the required documents that are required for this process to be successful and they can be found under the "Required Documents" section of this page.
6. Payment of appropriate fees should be made and that can be found under the "Fees" section of this page.
7. Name should be exact as registered, should there have been any Change of Name after registration do state the new name
8. The Registration Number is stated at the top left side of the Registration Certificate.
9. Clearly state here the complete Business Name of the Applicant.
10. Provide here a detailed description of the Nature of Change in the particulars,
11. Clearly State here the Date of Change in the provided format of (dd/mm/yy).
12. Provide the present Auditor's Firm Name in the provided space and Auditor's Firm Address.
13. Applicant needs to attach an Auditor’s consent letter to this application before submission.
14. Every company is required to furnish the Registrar with any change after incorporation e.g. Change of Company Name, Change of Address, Change of Director(s) / Secretary etc.
15. Applicant should all relevant documents attached in application form.
16. The prescribed fee must be paid by the applicant, and the receipt of payment must be attached with the application form.
17. Generally, the processing time for this procedure is taken 2 days.
18. If the authorized official is satisfied that all the information are in order, you will be notified of the outcome and issued with an amended business registration certificate and other supporting documents upon payment of the required fees.

Eligibility

• A Ghanaian LLC can be formed by a single shareholder, who must appoint two directors. While all can be foreigners, one of the directors must be ordinarily resident in Ghana.
• Only Ghanaians above the age of 18 years are eligible.

Fees

• Processing fees for this Change in Ownership is 110 GHS.

Validity

• All Auditors shall hold office for a term of not more than six years and are eligible for appointment after a cooling-off period of not less than six years. Refer to section 139 (11)

Need for the Document

• This document is proof of simply refers to a person who owns the business and is personally responsible for its debts.

Information which might help

• A person shall be appointed an Auditor of a public or private company if that person is qualified and licensed in accordance with the Chartered Accountants Act, 1963 (Act 170). See section 138 (1) and (2) of Act 992.
