ProcedureEdit

1.A person who wishes to register a new business name should start by suggesting a new business name.

2.When a name is suggested, the applicant must check the uniqueness of the suggested name. At this stage, the person goes to the office of the registrar of companies and searches the company, business name and trademark register to ensure that the suggested name is not in any case similar to any registered company / business name.

The search can be done through computerized or manual search systems
  • Fill the form of Statement of Particulars required to be given pursuant to the Business Name Registration in case of a firm.
  • Hand in the form for a name to check as to the availability of the name.
  • The form should indicate the name of the person signing the form against the signature in case of corporate entities being the partners.
  • The signature of the endorsee, title and the seal of the corporate entity must be indicated in case of corporate entities being the partners.
  • Pay the registration fee and hand in the form at the Business Registry for registration

  • Return the original certificate of registration for cancellation
  • Go through the procedure for new company registration.

Anyone who carries on a business or trade within Gabon and he / she is not trading under his or her own name. .

i.Name search 5000 CAF

ii.Reservation 10,000 CAF

iii.Lawyer CAF 3,000 to 6,000 (for obtaining a declaration of due compliance and any other legal services)

V.Registration fee CAF 2500



ValidityEdit

Registration may be cancelled if a business acts contrary to the laws of the country.

1.Endeavor to register business name before validity of reserved name expires;

2.Ensure that the name chosen is simple and easy to pronounce;

3.A business name to registered should not be similar to a name of any other business / company;

4.A business name should not be confusing;

5.The chosen name should not be against the copyright laws, trademarks or intellectual property considered in Gabon;

6.Applicant must be of good character;

7.It is advisable that the Declaration of Due Compliance be sworn by a lawyer engaged in business formulation. The director or secretary can be used as last resort;
