ProcedureEdit

  1. Complete the application form to register a company.
  2. Submit the application form along with all other required documents.
  3. Pay all necessary fees.

Required DocumentsEdit

  • Completed registration form
  • Original citizenship identity card of the promoters to be presented at the Company Registry Division, Department of Industry during the time of submitting application and documents for registration of a company following the Companies Act of the Kingdom of Bhutan.
  • Form set out in Schedule I of the Companies Act of the Kingdom of Bhutan 2000.
  • Consent to act as Directors of the company duly signed by the first directors in the form set out in Schedule II of the Companies Act of the Kingdom of Bhutan 2000.
  • A declaration by one or more directors in the form set out in Schedule II of the Companies Act of the Kingdom of Bhutan.
  • Sectoral clearance from the concerned sector and Industrial license number.

EligibilityEdit

Two or more citizens who have attained 18 years of age and who would like to register an existing company following the Companies Act of the Kingdom of Bhutan 2000.



FeesEdit

Company owners need to pay Nu. 1,000 if the authorized share capital is not exceeding Nu. 1,000,000 , Nu. 1500 if the authorized share capital is in between Nu. 1,000,000 to Nu. 200,000 and Nu. 2000 for authorized share capital exceeding Nu. 2,000,000.

Registration forms can only be submitted and processed at the Company Registry Division, Department of Industry, Ministry of Economic Affairs.



Required InformationEdit

  • Name of the company
  • Office location
  • Authorized Capital
  • Name and Addresses of the first and Chief Executive Officer of the company.
  • Names of Witnesses and their occupation



Need for the DocumentEdit

A company must be registered for it to obtain legal personality. It gives the registered company rights and obligations necessary or appropriate in conducting business transactions, with the exception of course of those forbidden to it by law.

Existing companies can still be registered in case there are changes in the form of the business, its owners or nature of the business.
