  • Dissolution of an NGO can either be voluntary (induced by the organization) and involuntary (revoking of an organization’s certificate by the NGO Board).You can contact the Uganda NGO Bureau for Dissolution of an NGO on the following website NGO Bureau

A. Voluntary dissolution;

  1. NGOs are required under the law to submit a prescribed form accompanied by an authenticated constitution by the subscribers of the organization.
    • Every constitution must have a dissolution clause.
    • Thus the manner in which an organization is voluntarily dissolved is laid out in its constitution.
    • for voluntary dissolution to be carried out by a resolution at the annual general meeting through a ¾ majority vote by the members of the organization
  2. The members must be given written notice 30 days in advance specifying the proposal to dissolve.

B. Involuntary dissolution;

  1. May occur where an organization’s certificate is revoked by the NGO Board due to any of the following:
    • The organization fails to operate in accordance with its constitution;
    • The organization contravenes any of the conditions or directions inserted in its certificate or;
    • If in the opinion of the board it is in public interest to do so (Section 10 of the NGO Registration Act 1989).
    • Dissolved by order of the Board
  2. The NGO Registration Regulations 2009 provides that, an organization may also be dissolved by order of the Board if:
    • The Board has reason to believe that a registered organization has not commenced its activities within twelve months from the time of its registration;
    • it is proved to be defrauding the public or its members or both;
    • it has violated the terms and conditions attached to its permit;
    • it has operated in contravention of the provisions of the Act;
    • for any other reason the Board considers necessary in the public interest.
    • By Notice of Revocation:
  3. Once the certificate of incorporation is revoked, the Board issues a notice of revocation in Form G as specified in the Schedule of the NGO Registration Regulations 2009 to the organization concerned
  4. Before a decision is made by the NGO Board to dissolve an organization, the NGO Board is mandated to give a thirty days notice to the organization to appear before it and show cause why it should not be dissolved.
  5. Where an organization fails to satisfy the NGO Board in its defense as to the need for its continued existence or fails to appear, the Board shall proceed to dissolve it.
  6. The law requires that upon dissolution and or winding up of the organization’s activities, the debts and liabilities of the organization be settled first and the remaining property distributed to other organizations with similar aims and objectives.

Note: The law does not provide for the distribution of assets among members upon dissolution.

Required DocumentsEdit

An application for dissolution of an NGO shall be in Form G and accompanied by:

  1. a certified copy of a certificate of incorporation;
  2. a copy of the Organization’s governing documents;
  3. a chart showing the governance structure;
  4. proof of payment of the prescribed fee;
  5. source of funding of the activities of the organization;
  6. a copies of valid identification document for at least two founder members
  7. Minutes and resolutions of the members authorizing the organization to register with the Bureau;
  8. a statement complying with section 45 of the Act( staffing);
  9. a recommendation from
  10. DNMC where the headquarters are located;
  11. A line ministry or a Government department or agency;
  12. At least 2/3rd of majority founder members present at the general Assembly shall sign the application for dissolution of an organization.
  13. A written notice of 30 days in advance to members specifying the proposal for the dissolution of the organization.
  14. A written Motion for dissolution signed by ¾ of fully paid up members.

Refusal to Dissolve an NGO

  • Where the Bureau refuses to dissolve an NGO, it shall give reasons for the refusal and notify the Organization of its decision within thirty (30) days from the date of the refusal.
  • The refusal notification shall be in Form as prescribed in the schedule.

Need for the DocumentEdit

  • According to the 2009 Non-Government Organizations Act all NGOs are required to disposition of the organization’s assets upon dissolution (NGO Act Section 49(1)) in Uganda

Information which might helpEdit

  • Ugandan law does not provide for the distribution of assets upon liquidation of an NPO. Rather, the law requires the constitution of each organization to establish procedures for the disposition of the organization’s assets upon dissolution (NGO Act Section 49(1)).
  • Organizations that have made a resolution for voluntary dissolution must develop and submit to the NGO Bureau and to the official receiver a statement of their affairs, showing particulars of assets, liabilities, names, residence, and occupations of the creditors and the securities held by them (NGO Act Section 49(6).
  • According to local experts, the general practice is that upon dissolution and winding-up of an organization, its debts and liabilities are settled first and the remaining property is distributed to other organizations with similar aims and objectives. The law prohibits the distribution of assets among members
