ProcedureEdit

Apply In-Person

  1. To register as Registrars and Share Transfer Agents, the applicant needs to visit the office of the Securities And Exchange Commission (SEC). The address and contact details of the Corporation can be found in the following link: contact link
  2. Visit the office and obtain an application form for Registrars and Share Transfer Agents from the relevant department. Or download here:Form
  3. Complete the application forms with appropriate information under relevant sections. Attest it with your signature once completed.
  4. Once completed filling the application form, make sure that you attached all the documents listed in the “Required Documents” section of this page.
  5. Then, submit it in person to the relevant authority at the office. Make the stipulated payment as directed by the officials.
  6. After submission, the application and other documents will be forwarded for examination and verification processes.
  7. Once the verification and validation processes are over, the application will be approved and the officials will proceed to take required steps.
  8. When the registration document is ready to be collected, the applicant will be notified by the office and the applicant can collect it by any applicable means.

EligibilityEdit

The Commission will only register a body corporate if it is satisfied that the rules of the body corporate make satisfactory provisions.

  • The individuals must be fit and proper persons to operate in the market.
  • Satisfactory police reports
  • Satisfactory referees’ reports (banker and immediate previous employer’s reports)

  12. If the applicant is a Division/Department/Subsidiary of a registered company, state the name of the principal company
  13. State specific business activities and contributions of each to turnover of the applicant
  14. State below the number of clients you serve
  15. Give the Total in number and values of the following documents outstanding with you undelivered
  16. What are the main reasons for non-delivery
  17. Briefly describe facilities available for the safe keeping of securities/valuables
    a) Are records updated manually or with the aid of a Computer
    b) What are your records update procedure?
    c) How are shares transfers effected and dividend warrants prepared?
    d) State average period for completion of share transfer registration process.
  18. Is the applicant always involved in keeping money on behalf of clients pending distribution by the applicant to ultimate beneficiaries for whatever reasons?
  19. State total amount of client's money now outstanding with you
  20. How does the applicant account for client's money referred to in (20) above
  21. State the basis upon which the applicant is remunerated for services rendered
  22. Give details and value of Fidelity Bonds entered into in respect of your employees
  23. Affidavit
